The terms and conditions of sales and deliveries

General

Offer

Offers expire if not accepted within 7 days. Offers may be revoked and re-offered at the discretion of the seller. Offers may be negotiated with a counter-offer if the seller agrees to the proposed terms. Parties must mutually agree to any modifications to the offer before acceptance. Both parties must sign the final agreement. Any necessary offers or agreements made by our representatives only become binding when confirmed in writing, e.g. by letter of offer or order confirmation. Offers may change due to significant changes in the prices of raw materials and semi-finished products, exchange rates, freight rates, etc. In the time until the item is ordered or delivered. If such changes have occurred up to delivery time, we have the right to adjust its conditions accordingly. All conditions in an offer are calculated based on the volume to which the offer applies in total. Reservations are therefore made about changes to these, should a partial order become relevant. The buyer accepts the order confirmation, as long as a written objection is not submitted immediately or within 3 working days of receiving this.

Quantity

If the offer, order or agreement includes delivery of goods that are not in our stock and/or are produced at the buyer’s request, so-called special purchase, We reserve the right to deliver up to 10% more or less than what is stated on the order confirmation or order. Only full packaging sizes are available for non-stock items.

Delivery

All deliveries are made EXW/FOB/CIF/DAP from our side. Goods included in the delivery appear on the delivery note. The customer’s carrier must immediately check that the order matches the delivery note. Goods listed as remaining are delivered with the order or sent according to an agreement with the customer.

Returns

Returns are only accepted when this has been agreed in advance and up to 6 months after the item has been delivered. Current goods are credited with 85%. Out-of-date goods are understood to be goods that are in the assortment in unopened, complete original packaging without external markings. The customer pays for return shipping.

Transport damage - shortage

The consignee must ensure that the goods are not damaged and that the number of parcels delivered is in accordance with the denomination of the waybill. Damage or deficiency must be stated on the consignment note before receipt of receipt. Otherwise, the carrier will waive responsibility for damage or shortages. Any shortages must be reported to us without undue delay and within 7 days at the latest.

Complaints

Errors or deficiencies in delivered goods must be reported without undue delay and no later than 3 working days after the error or deficiency was discovered or should have been discovered. No return must be made without prior agreement. Returns are only approved for standard stock items in complete, undamaged packaging.

Delivery obstacles and force majeure

If after an offer has been made, a delivery confirmed or a delivery agreement has been entered into, circumstances arise which prevent us from fulfilling what has been mentioned, we are not responsible for the consequences thereof. This applies, for example, to war, mobilization, requisition, seizure, changes in the currency market, export or import bans, labor disputes, an insufficient supply of raw materials, lack of means of transport, fire and factory accidents, as well as deficiencies/errors in deliveries from subcontractors or delays in such deliveries as a result of such circumstances which are dealt with in this point. In such cases, in the event of a permanent impediment to delivery, any of the parties may wholly or partially withdraw the offer, the delivery agreement or the sale of the affected product/goods. If the delivery obstacle is temporary, the delivery time can be extended.
